1.2 Protected Health Information (PHI): Has the meaning given in 45 CFR § 160.103 and includes any individually identifiable health information transmitted or maintained by Lyfe AI on behalf of Provider.
1.3 HIPAA: The Health Insurance Portability and Accountability Act of 1996, as amended, and its implementing regulations.
1.4 Services: The healthcare technology services provided by Lyfe AI through the Platform, including but not limited to patient management, care coordination, documentation, and analytics.
1.5 Users: Healthcare providers, patients, and authorized caregivers who access the Platform.

• Enable patient cohort onboarding via OneRecord patient-mediated integration
• Provide consolidated patient records with automated intake and notifications
• Process and analyze healthcare documents using AI technology
• Facilitate secure communication between providers, patients, and caregivers
• Generate analytics and insights to improve healthcare delivery
• Maintain HIPAA-compliant data handling throughout all operations
2.2 Service Components:
• Patient portal and caregiver access
• AI-powered document processing and analysis
• Secure messaging and communication tools
• Care plan management and tracking
• Analytics dashboard and reporting
• Mobile-responsive interface for all user types
• 24/7 platform availability with 99.5% uptime SLA
2.3 Implementation Support: Lyfe AI will provide implementation support including:
• System setup and configuration
• Training and onboarding SOP
• Customer success management
• Outcomes reporting
2.4 Service Model: The Platform is provided as a cloud-based service with:
• Automatic updates and feature releases
• Continuous security patches and monitoring
• Scalable infrastructure managed by Lyfe AI
• No on-premise installation required
• Browser-based access with mobile compatibility
2.5 Professional Services: Additional services such as provider-driven integrations (e.g., Redox, Epic, Cerner), bulk retroactive patient record ingestion, or custom workflow development may be scoped separately as professional services.

• This subscription includes all Platform features, updates, maintenance, and standard support
3.2 Billing Cycle: Fees are billed monthly in advance and are due within 30 days of invoice date.
3.3 Usage Calculation: Provider count is calculated based on the maximum number of providers with Platform access during each monthly billing period.
3.4 Payment Method: All payments shall be made via electronic transfer, ACH, or other method agreed upon by the parties.

• HIPAA-compliant data centers
• Geographic redundancy and disaster recovery
• 99.9% uptime SLA for core services
• Real-time security monitoring and threat detection
5.2 Business Associate Agreement: The Business Associate Agreement attached as Exhibit A is incorporated herein by reference and forms an integral part of this Agreement.
5.3 Security Measures: Lyfe AI maintains healthcare industry-standard technical, administrative, and physical safeguards to protect PHI, including:
• End-to-end encryption for all PHI transmission and storage
• Multi-factor authentication for all user access
• Regular security audits and vulnerability assessments
• HIPAA-compliant infrastructure and processes
• Comprehensive audit logging for all PHI access
5.4 Breach Notification: Lyfe AI will notify Provider of any suspected or actual breach of PHI within 24 hours of discovery, in compliance with HIPAA Breach Notification Rule (45 CFR §§ 164.400-414).
5.5 Data Residency and Sovereignty: All PHI will be stored in HIPAA-compliant data centers located within the United States. No PHI will be processed or stored outside the U.S. without explicit written consent.

• Critical issues affecting PHI security: Response within 2 hours
• System outages: Response within 4 hours
• General support requests: Response within 24 hours

8.3 Provider Indemnification: Provider will indemnify Lyfe AI against claims arising from Provider's use of the Platform in violation of applicable laws or professional standards.

• Lyfe AI may use de-identified, aggregated data for Platform improvement, benchmarking, and healthcare research, subject to HIPAA de-identification requirements (Safe Harbor or Expert Determination)
